Affiliated Managers Group Pty Ltd (ABN 68 123 448 984; ACN 123 448 984 ) is a proprietary limited company incorporated in Australia and a wholly owned subsidiary of AMG. Affiliated Managers Group Pty Ltd provides financial services, including specified marketing services, in Australia and New Zealand for the following Affiliates:

Affiliated Managers Group Pty Ltd and its representatives are authorised by each of the Affiliates identified above, except as noted below, to market their services to clients and prospective clients and to provide client services to their clients. When marketing the services and products of an individual AMG Affiliate or when providing client services to a client of that Affiliate, in each case Affiliated Managers Group Pty Ltd and its representatives only represent that Affiliate, and they are not authorised by and do not represent any other AMG Affiliate in that context. With respect to AQR Capital Management, LLC, Affiliated Managers Group Pty Ltd has been appointed by and serves as a Corporate Authorized Representative of AQR Pty Ltd (ABN 38 116 067 255), a wholly owned subsidiary of AQR Capital Management, LLC, for purposes of providing specified marketing services in Australia.
Reliance on Exemption from Licensing Requirement
Pantheon Ventures (UK) LLP is an investment adviser authorised and regulated in the UK by the Financial Services Authority (FSA). Pantheon relies on ASIC Class Order 03/1099. Each of the other Affiliates identified above is a US registered investment adviser and relies on ASIC Class Order 03/1100. The Class Orders exempt the Affiliates and their representatives, from the requirement to hold an Australian financial services license under the Corporations Act 2001 (Cwlth) in respect of financial services provided by it or its representative, Affiliated Managers Group Pty Ltd and its employees. A copy of the Class Orders may be obtained at ASIC's website www.asic.gov.au. The Class Orders exempt a registered investment adviser regulated by the US Securities and Exchange Commission (SEC) (03/1100 or an adviser authorised and regulated in the UK by the FSA (03/1099) from the need to hold an Australian financial services license for certain financial services provided to Australian wholesale clients on certain conditions. For AQR Capital Management, LLC, AQR Pty Ltd holds an Australian financial services license and has appointed Affiliated Managers Group Pty Ltd as a Corporate Authorized Representative, as further described above.
Each Affiliate and its representative are regulated by the applicable laws of their home jurisdiction, which differ from the applicable laws in Australia. Each of the Affiliates and its representative is required to comply with applicable regulatory requirements and policies when providing financial services to you.
