In April 2008, Affiliated Managers Group, Inc.
provided The Bank of New York, as successor trustee under the Indenture dated
as of May 7, 2001, as amended, between AMG and The Bank of New York, with
notice that a holder of its outstanding Liquid Yield Option™ Notes (the
“LYONs”) may convert such security into common stock of AMG during the quarter
ending June 30, 2008 by following the procedures for conversion set
forth in the Indenture. Under the terms of the Indenture, the LYONs may cease
to be convertible in the future.
